California Transparency in Supply Chains Act of 2010
The California Transparency in Supply Chains Act of 2010 was enacted to increase the amount of information made available by manufacturers and retailers regarding their efforts (if any) to address the issue of slavery and human trafficking, thereby allowing consumers to make better, more informed choices regarding the products they buy and the companies they choose to support.
We are dedicated to conducting business in a lawful and ethical manner, and it is our expectation that our suppliers also conduct themselves in such a manner.
To ensure that our suppliers comply with these expectations, we have implemented a process that includes:
Compliance with our Code of Conduct
We obligate our suppliers by contract to comply with our Manufacturing Code of Conduct, which requires among other things, that our suppliers “will not use any forced or involuntary labor, whether prison, bonded, indentured or otherwise.” Our suppliers are expected to require the same standards of their suppliers in turn.
Supplier Audits
We conduct on-site audits of our suppliers in the developing world to evaluate supplier’s compliance with our Manufacturing Code of Conduct and the prohibitions on using child or forced labor. While we may retain third parties to perform these audits and these audits may be unannounced, our employees generally conduct these audits and provide the supplier with notice of the upcoming audit.
Employee Training
We train employees responsible for supply chain management, including those employees who perform on-site audits, on how to identify and respond to supply chain issues, such as forced labor or child labor.
Consequences for Non-Compliance
Suppliers will be terminated if we discover any presence of child or forced labor, and any employees who ignore any signs of child or forced labor are subject to disciplinary action up to and including termination of employment.

Site Transactions
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
Right to Change Sites
We reserve the right, at any time in our sole discretion, to modify, suspend or discontinue the Site or any service, content, feature or product offered through the Site, with or without notice; charge fees in connection with the use of the Site; modify and/or waive any fees charged in connection with the Site; and/or offer opportunities to some or all users of the Site. Prohibited Activities

- Creating a username that contains offensive content. Offensive content may include, but is not limited to, obscene language, obscene references, threatening or harassing messages, or defamatory statements.
- Engaging in activity that compromises the Site. Such activity may include, but is not limited to hacking, IP attacks, worms, viruses, spamming, phishing, cancel bots, Trojan horses, and mail bombing or crashing.
- Engaging in any activity designed to impede the use of the Sites by other users, including overloading and flooding.
- Framing or deep linking into the Site.
- Accessing the Site by means of automated process, spiders, bots or similar device.
No Unlawful or Prohibited Use
As a condition of your use of the Site, you warrant to United/Lane that you will not use the Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.
User Suspension and/or Termination
United/Lane may cancel or terminate the user’s right to access or use any part of the Sites at any time without notice. The user agrees that a breach of any of the terms in this Agreement may result in the immediate termination of the user’s account and/or give rise to civil action against the user. The disclaimers herein and all restrictions on the user regarding information downloaded or obtained from the Sites shall survive any cancellation or termination of the user’s right to use the Sites.
Use Of Information Submitted By You
Personal Information

User Indemnification
You agree to indemnify United/Lane and its affiliates, employees, agents, representatives and third party service providers and defend and hold each of them harmless, from any and all claims, demands, actions, liability, fines, penalties and expenses, whether based on warranty, contract, negligence, strict liability or otherwise, that may arise from any of your acts through the use of the Site. Such acts may include but are not limited to: submissions, unauthorized use of material obtained through the Site or breach of this Agreement.
General Terms
We reserve the right to withdraw access to the Site or to revise the services and products described in the Site at any time without notice.
To the maximum extent permitted by law, this Agreement is governed by the laws of the State of Mississippi and you hereby consent to the exclusive jurisdiction and venue of courts in Mississippi in all disputes arising out of or relating to the use of the Site.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and United/Lane as a result of this Agreement or use of the Site.
If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.
Unless otherwise specified herein, this Agreement constitutes the entire agreement between you and United/Lane with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and United/Lane with respect to the Site.
Copyright Complaints
United/Lane respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide United/Lane’s copyright agent with the following information.
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
- Description of the copyrighted work that you claim has been infringed;
- The location of the material that you claim is infringing is located on the Site;
- Your address, telephone number and e-mail address;
- A statement that your claim of infringement is based on a good faith belief; and
- A statement made under penalty of perjury, that the information you have provided is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
